Proposed changes to FAI Board bylaws

The Flashpoint Artists Initiative Board of Directors is considering 501(c)3 status for several reasons: reinforce our mission statement re: education; tax advantages; part the process of potentially becoming a sanctioned regional burn.

To that end, we have been advised by a nonprofit advisor that we need revise the FAI bylaws in the following two places:

Article II: 

  1. Current: The Corporation is a Georgia nonprofit Corporation and shall be operated exclusively for educational and charitable purposes.
  2. Proposed: The Corporation is a Georgia nonprofit Corporation and shall be operated exclusively for educational and charitable purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Article VII:

Add: Upon any dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.


The suggested changes would create no new operational issues. If we become a 501(c)3 nonprofit, there would be certain steps we would need to take to verify for the IRS that we are meeting our educational/charitable purposes, but otherwise there would be no difference in the way we run the Board or the burn.

The FAI BOD has moved to approve these changes pending two weeks of open public comment. Comments will close on Sat, Mar 7, and a final vote taken thereafter.
